Finnish retail giant SOK
is pulling out of Estonia, selling its entire Prisma grocery chain to Coop Estonia in a move poised to reshape the country’s retail landscape.A strategic pivot, not a decline
The deal, finalized after lengthy negotiations and subject to regulatory approval, sees 13 Prisma stores transitioning to Coop ownership, alongside the AS Prisma Peremarket operation. It’s a calculated shift, driven by strategic considerations rather than a lack of profitability – a detail SOK’s CEO, Hannu Krook, explicitly stated.
“We had two options: either invest more in the store network ourselves, or grow through partnership,” Krook explained. “We decided to invest in a partnership.” The decision underscores a desire to leverage Coop’s existing infrastructure and market penetration, particularly in Tallinn, a city where SOK’s previous strategy focused on broader Estonian territory.
Tallinn’s retail battlefield
Coop Estonia’s Chairman, Rainer Rohtla, highlighted the opportunity: “Coop’s market share in Tallinn has been low compared to competitors, as we have historically focused on having a presence in other parts of Estonia. We have been looking for a suitable opportunity to increase our market share in Tallinn for quite some time.” The acquisition represents a significant expansion, promising increased accessibility to Coop’s offerings for Tallinn residents.
The transaction, slated for completion by 2026 pending regulatory approval, will seamlessly integrate approximately 700 Prisma employees into Coop’s operations. Notably, SOK’s Hotel Viru remains unaffected, a testament to a carefully compartmentalized divestiture.
A cooperative future
This isn’t simply a sale; it’s an agreement to facilitate the import of Finnish food and other products from SOK’s extensive selection in Finland to 300 Coop stores across Estonia. It's a strategic alliance built on shared cooperative values, as Krook emphasized, “Coop Estonia is the best possible partner for S Group in Estonia. We share a cooperative background and responsible values.” While the move signals a departure for SOK, it establishes a new dynamic for retail in Estonia – one fueled by a collaborative effort.
